Terms of Service

Governing Law: These Terms of Service are governed by the laws of Nepal, including the Muluki Civil Code 2074, the Companies Act 2063, and other applicable legislation. By engaging our services, you agree to these Terms.

1. Parties

These Terms constitute a binding agreement between Swift Support Solutions Pvt. Ltd. ("Company", "we", "us"), registered under the Companies Act 2063, Nepal, and you ("Client"), the individual or entity engaging our services.

2. Services

The Company provides professional services including:

  • Business Consultation
  • Business Financial Advisory
  • Events Management
  • Accounting & Bookkeeping (per NFRS/NAS standards)
  • Tax, VAT & Audit Support (IRD-registered)
  • Fundraising Solutions
  • Marketing & Branding
  • Project Management
  • Business Development

Specific scope, deliverables, and timelines are agreed upon in writing before each engagement commences.

3. Engagement & Quotation

All engagements begin with a written proposal or service agreement specifying scope, fees, timeline, and deliverables. No work commences until the Client has accepted the proposal in writing or electronically. The Company reserves the right to amend proposals if scope changes materially.

4. Fees & Payment

  • All fees are quoted in Nepali Rupees (NPR) unless otherwise agreed.
  • Invoices are payable within 15 days of issuance unless otherwise stated.
  • Late payments attract interest at the rate applicable under the Muluki Civil Code 2074.
  • Applicable taxes (e.g. VAT at 13% per the Value Added Tax Act 2052) will be added where required.
  • Professional Tax Deducted at Source (TDS) obligations of the Client remain the Client's responsibility per the Income Tax Act 2058.

5. Client Responsibilities

The Client agrees to:

  • Provide accurate, complete, and timely information required for service delivery
  • Obtain necessary approvals or authorisations before the Company files on their behalf with IRD, OCR, or other authorities
  • Review and approve deliverables within agreed timelines
  • Maintain confidentiality of any proprietary tools or templates shared by the Company

6. Intellectual Property

All methodologies, templates, and proprietary tools developed by the Company remain the Company's intellectual property. Client-specific deliverables are transferred to the Client upon full payment. Neither party may use the other's name or brand without prior written consent.

7. Confidentiality

Both parties agree to maintain strict confidentiality of all business, financial, and personal information shared during the engagement. This obligation survives the termination of services for a period of 3 years. Disclosure is permitted only as required by Nepal law or with prior written consent.

8. Limitation of Liability

The Company's liability for any claim arising from services provided shall not exceed the total fees paid by the Client in the 3 months preceding the claim. The Company is not liable for losses arising from inaccurate or incomplete information provided by the Client, or for decisions made by the Client based on our advice without due consideration of their specific circumstances.

Nothing in these Terms limits liability for gross negligence, wilful misconduct, or fraud.

9. Termination

Either party may terminate an engagement by providing 14 days' written notice. The Client remains liable for fees for work completed up to the termination date. The Company may terminate immediately if the Client engages in illegal activities, withholds payment beyond 30 days, or provides materially false information.

10. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days. If unresolved, disputes shall be referred to mediation under Nepal's Arbitration Act 2055 before proceeding to litigation. The courts of Kathmandu District shall have exclusive jurisdiction.

11. Amendments

The Company may update these Terms from time to time. Continued use of services after notification of revised Terms constitutes acceptance. Clients will be notified of material changes by email or website notice.
